The following key components could be useful to your governance review process:
  • an AUDIT or SELF-ASSESSMENT  -  we have several tested tools ready to go
     
  • a GOVERNANCE 101 Workshop  -  most Boards welcome an overview of governance theory, alternative models, experiences in related organizations, etc. early in the process - an ideal forum for informal discussion and 'readiness building'
     
  • STAKEHOLDER INPUT -  a process to solicit feedback and suggestions from those who have an interest in effective governance of 'their organization' (interviews, survey, e-solicitation)
     
  • TRANSITION Analysis  development of a 'FROM/TOWARDS' table that summarizes the issues, what new behaviours we are trying to support, and the transition desired  -  governance policy/structure is the 'form' that follows 'function'
     
  • GOVERNANCE POLICY   committee/consultant generation of high level options  - recommendations in the form of a draft governance policy (detailing the preferred option - for extensive review and discussion
     
  • INFRASTRUCTURE/STRUCTURE Review - addressing the tangible issues and support systems that must align with the new model
     
  • Clear definition of ROLES/RESPONSIBILITIES  -  RETHINK has developed the IRDEM model that identifies areas where role confusion has occurred (or may in the future) as a rows in a matrix;  those bodies who will experience the confusion as columns;  and assigns responsibilities within each cell of the matrix (Decision, Required Input, Optional Input, Execution/implementation, Monitoring/Evaluation)
     
  • Review of CURRENT DIRECTIONAL POLICIES  - to ensure that the language is consistent with the new policy governance model  -  focus on outcomes/results  -  logic model to define core businesses, outcomes desired, and indicators that key activities make the difference desired
     
  • TRANSITION MANAGEMENT  - identifying and addressing any barriers - motivating those invested in the 'old model' to be a constructive part of the change process -  formally installing and reinforcing the new approach.
